CONTEST TIMING: The Contest begins at 12:00:00 AM Pacific Time (PT) on August 1, 2009 and ends 11:59:59 PM PT on September 14, 2009 (the "Contest Period"). 3. CONTEST DESCRIPTION: The Contest invites Eligible Participants to submit a Video and a Video Description of 50-1500 characters describing their favorite automotive project and telling why they would make the best eBay Motors "Motors Master". The Contest will consist of five (5) Phases: During Phase 1, which will run from 12:00:00 AM PT on August 1, 2009 through 11:59:59 PM PT on September 10, 2009 ("Entry Period"), Eligible Participants will have the opportunity to submit their Video and Video Description for consideration in one of four Contest categories: (1) Muscle Cars (2) Tuners; (3) Off-Road; and (4) Motorcycles (each referred to as "Category"). Contest Entrants will also receive one entry in the Random Drawing each time they submit an eligible Contest entry (see Rule #9 below) during Phase 1. During Phase 2, which will run from 12:00:00 AM PT on August 1, 2009 through 11:59:59 PM PT on September 14, 2009 ("Voting Period"), a panel of judges will review and score all entry submissions. In addition, all qualified entries received during this Period will be posted on the eBay Motors Contest Gallery Page whereby the eBay community will be invited to rate the submissions per category. Consumers will also receive one entry in a random drawing each day they rate at least one entry. During Phase 3, which will occur on September 15, 2009, a final score will be determined for each entry based on the judges' score, which will count for 80%, and the consumers' rating, which will count for 20%, of the final score. Up to a maximum of ten (10) top-scoring entries in each Category will be declared finalists (each such person a "Finalist") in their respective categories and will go on to Phase 4. During Phase 4, which will occur from September 16, 2009 through September 22, 2009, a panel of celebrity judges will judge the Finalists and the Finalist with the top scoring entry in each category will be declared a Grand Prize winner, subject to verification. During Phase 5, which will occur on or about September 23, 2009, Grand Prize winners will be notified and will have their projects featured on a winners' page on eBay Motors. 4. PHASE 1 - HOW TO ENTER: To enter the Contest, Eligible Participants must go to http://www.motorsmaster.ebaymotors.com/ (the "Website") and do all of the following during the Entry Period: (1) Complete and submit the Contest entry form by providing the information required and select the Category for which the video is being submitted: 1) Muscle Cars; (2) Tuners; (3) Off-Road; and (4) Motorcycles. Eligible Participants must acknowledge that they have read and agree to the Official Rules by checking the box that appears on the entry form. (2) Using links provided on the entry form, upload a video (the "Video") describing your favorite automotive project and why you would make the best eBay Motors "Motors Master"; AND (3) In the space provided on the entry form, describe in 50-1,500 characters, your vehicle, before and after imagery, the modifications you made to this vehicle, the destination from which you sourced the automotive parts, how you used eBay for this project, why this project is your favorite and why you would make the best eBay Motors "Motors Master" (the "Description"). Eligible Participant's Video and Description must be in the English language, and the Video must be in .avi, .mov, .mpeg or .wmv electronic format and may not exceed 15MB in size. Videos must be of good quality and clearly depict the Contest Theme. All components of each entry must be submitted online in accordance with these Official Rules and received by 11:59:59 PM PT on September 10, 2009 in order to be eligible. Contest Entrants will also receive one entry in the Random Drawing each time they submit an eligible Contest entry (see Rule #9 below) during Phase 1. Once an entry is submitted, the Entry will be reviewed and once it is qualified, it will be posted to the eBay Motors Master Contest gallery page ("gallery page"). Sponsor reserves the right to remove any entry from the gallery page for any reason whatsoever at any time during and after the Contest Period. The Website's database clock will be the official timekeeper for the Contest. There is a limit of one Contest/Sweepstakes entry per eBay User ID and/or per person per day. Each contest entry must be unique. Subsequent entries submitted by an entrant on a given day are void. Video entries submitted which have been produced by professional videographers are ineligible. The Video and Description must be in keeping with the Sponsor's image, and may not be offensive, nor can it defame, or invade upon the publicity rights or privacy of any person or otherwise infringe upon any person or entity's intellectual property, personal or proprietary rights, as determined by Sponsor and the Contest judges in their sole discretion. Each Contest entrant must either (i) be the sole and exclusive owner of all rights (including, without limitation, all intellectual property rights) in and to all content and elements (including, without limitation, music) incorporated into or used in the Video and Description or (ii) have the express written permission to use such content and elements from the owner(s) of the rights to such content and elements. Any entrant whose Video or Description includes likenesses of third parties or contains content or elements not owned by the entrant (such as, but not limited to, depictions of buildings, songs, individual names, trademarks, or logos) must be able to provide written legal releases (in a form that is satisfactory to Sponsor and the judges) that permit the entrant to use and exploit such content and elements in the manner used and exploited and that permit Sponsor's right to use and exploit the content and materials in accordance with these Official Rules ("IP Releases") before eligible to be declared a Finalist. Contest entrants may use the eBay name in the Video and Description in a descriptive manner to describe www.ebay.com, eBay Motors and activities related to www.ebay.com and eBay Motors. Use of the eBay logo or any intellectual property owned by eBay in Videos and description is prohibited. In the event the likeness of a minor is included in an entrant's video, entrant must provide a legal release from the parent/legal guardian of the minor depicted in the Video. Incomplete Entries or Entries not complying with these Official Rules are subject to disqualification. Sponsor is not responsible for late, lost, incomplete, illegible, damaged, or misdirected entries. Sponsor's decisions are final on all matters relating to this Contest. 5. PHASE 2 - VOTING PERIOD: During the Voting Period, all eligible entries (including Videos and Descriptions) will be judged by a panel of expert judges based on the following criteria: (i) Originality of Modifications - 25%; (ii) Clarity of Expression - 25%; (iii) Passion for using eBay Motors - 25%; (iv) Appropriateness to Contest Theme described in Section 4 Above - 25%. In addition, all eligible entries will be posted on the eBay Motors Master Gallery Page where confirmed registered members of www.ebay.com (including Entrants)will be encouraged to rate each submission on a scale of 1-5 (5 being the most favorable and 1 being the least favorable) during the Voting Period. When a consumer rates a submission, they will be required to log in to eBay. Once the consumer successfully logs in to eBay, he/she will receive confirmation that the rating has been received, and, if it is the first time the consumer is rating a submission on that particular day, consumer will receive an entry in the Random Drawing (see Rule 9 below). Consumers can rate more than one (1) submission per day but they will only receive one (1) entry in the random drawing per day. Consumers may only rate a submission once per day. All subsequent ratings of the same submission by a person on the same day will be void. 6. PHASE 3 - DETERMINATION OF FINALISTS: During this Phase, a final score will be determined for each eligible entry received based on the judges' score, which will count for 80%, and the consumers' tallied ratings, which will count for 20%, of the final score. Up to a maximum of ten (10) top-scoring entries in each Category will be declared finalists (each such person a "Finalist") in their respective categories and will go on to Phase 4. In the event of a tie, the Entries involved in the tie will be reviewed by an additional judge who will serve as a tiebreaker and who will evaluate Entries according to the criteria listed above in Rule 5. Decision of judges is final and binding on all matters relating to this Contest. Ten (10) Finalists per category for a total of forty (40) Finalists will be determined on or about September 15, 2009. A person may only be deemed a finalist in one (1) category. 7. PHASE 4 - DETERMINATION OF GRAND PRIZE WINNERS: : During this Period, the forty (40) Finalists' entries (including Video & Description) will be judged by a panel of celebrity judges based on the following criteria: (i) Originality of Modifications - 25%; (ii) Clarity of Expression - 25%; (iii) Passion for using eBay Motors - 25%; (iv) Appropriateness to Contest Theme described in Section 4 Above - 25%. The top scoring entry in each Category will be declared a Grand Prize winner, and given the title 2009 Motors Master, subject to verification & compliance with these Official Rules. In the event of a tie, the Entries involved in the tie will be reviewed by an additional judge who will serve as a tiebreaker and who will evaluate the tied Entries according to the criteria listed above. Decision of judges is final and binding on all matters relating to this Contest. 8. PHASE 5 - WINNER NOTIFICATION: Potential winners will be notified on or about September 23, 2009 by U.S. mail and/or overnight mail and/or email using the contact information provided at the time of entry. Potential winners will be required to provide copies of IP Releases (if applicable) and sign an affidavit of eligibility/declaration of eligibility/liability release and, where legal, publicity release and for U.S. residents, a federal and state tax release and return same, properly executed, within 48 hours via fax and within five (5) days of issuance via regular U.S. Mail. Failure to return documents as specified, or if any notification is returned as undeliverable, will result in disqualification and a runner-up may be selected. If an entrant changes his/her telephone number, email address and/or street address after he/she enters the Contest, it is his/her sole responsibility to notify the Sponsor by postal mailing or email notice to Sponsor's address (listed below) to be received by the end of the Entry Period. Grand Prize winners may have their entries posted on an eBay 2009 Motors Master Contest winners' page. 9. RANDOM DRAWING: All entrants that submit an eligible contest entry or an eligible vote will be automatically entered in the Random Drawing. Or, eligible participants may enter by printing their name, address, email address & eBay User ID on a 3X5 piece of paper and mailing in an envelope with postage affixed to: eBay Motors Random Drawing, c/o Strobe Promotions, Inc., 535 South Broadway, Suite 203, Hicksville, NY 11801. Limit one entry per outer mailing envelope. Mail-in entries must be post-marked by 9/10/09 and received by 9/15/09. One (1) winner will be selected each week for six (6) weeks throughout the Contest Period in a random drawing from among all eligible entries received at 12:00:01 pm PT on or about the dates stated in the Entry Chart below by Strobe Promotions, Inc., the independent judging organization, in Hicksville, NY. Potential winners will be notified by electronic mail and/or phone and/or overnight mail on or about the dates stated in the Entry Chart below. All random drawings will be conducted by Administrator, whose decisions are final and binding on all matters relating to this Sweepstakes. Potential First Prize winners will be required to sign an affidavit of eligibility/declaration of eligibility/liability release and where legal, publicity release, and for U.S. residents, a Federal and State tax release and return these documents, properly executed, within 7 days of issuance of notification. Non-compliance within this time frame, or if prize or prize notification is returned as undeliverable, will result in the entrant being disqualified, and the prize will be awarded to a potential alternate winner. As a condition for receiving any prize, winners who are residents of Canada will be required to correctly answer (unaided) a time-limited mathematical skill-test question. Odds of winning a prize depend upon the number of eligible entries received as per the Entry Chart below. 10. PRIZES: FOUR (4) GRAND PRIZES (ONE PER CATEGORY): Grand Prize includes the following: a) $2,500 deposited into the winner's PayPal account; b) A 4-day, 3-night trip for the winner to the 2009 SEMA Show in Las Vegas, NV (November 4th - 7th, 2009), including round-trip air transportation from a major airport nearest to winner's home, hotel occupancy for 3 nights, tickets to the 2009 SEMA Show and tickets to a behind the scenes event/party; and c) Winner will be designated as the eBay Motors "Motors Master" to star in the first Vuvox DIY eBay Motors Master Installation Video. Approximate Retail Value (ARV) of this prize is $4,100 each. SIX (6) RANDOM DRAWING PRIZES (ONE PER WEEK): A $1,000 eBay Gift Certificate to spend on eBay Motors. All terms & conditions for eBay Gift Certificates apply. ARV: $1,000/ea. Total ARV of all prizes: $22,400. Grand Prize winners must have or must create a PayPal Account (the "PayPal account") in order to receive access and use the $2,500. If you are an existing PayPal customer, the prize will be deposited in the PayPal account associated with the email address you provided. If the email address you provided is not associated with your PayPal account, you must associate it with your PayPal account within 7 days from time of prize notification to qualify. If you do not currently have a PayPal account, you must create a PayPal account within 7 days from the time of prize notification. Follow directions to register to become a member. The prize will be deposited in the winner's PayPal account on or about September 30, 2009. A potential winner with a PayPal.com account must have his/her account in good standing in order to receive a prize. Prize will not be awarded to a potential winner with a locked, closed or restricted account. Travel Restrictions for Grand Prize winners: Actual value of trip prize depends on the city of departure, time of travel, any airfare fluctuations and on current market conditions at time of prize fulfillment, and any difference between the stated ARV and the actual value if any, will not be awarded. Winner must be able to travel on dates specified by Sponsor or prize will be forfeited. Travel arrangements will be made through the travel coordinator designated by Sponsor. Trip is subject to air/hotel availability, holiday and blackout dates, and other conditions and restrictions, if provided by prize coordinator/supplier. If a Grand Prize Winner lives within 100 miles of prize destination city the air transportation portion of the prize will not be awarded and ground transportation will be substituted and no additional compensation will be provided. Airline and flight times to be selected by air supplier at its sole discretion. One or more stopovers may be required on air transportation. Air transportation, if applicable, and hotel accommodations must be taken together and cannot be taken separately. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. Grand Prize Winner must confirm available travel dates and flight times selected by the Sponsor at least three (3) weeks prior to travel dates. No extension or change of trip dates permitted. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates or similar items once they are in Grand Prize Winner's possession. eBay Inc. ("Sponsor"), its affiliates, subsidiaries, divisions, advertising and promotion agencies, and Strobe Promotions, Inc. ("Sweepstakes Entities") shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. If any portion of the Grand Prize is unable to take place as planned, for any reason, including but not limited to, cancellation, scheduling conflicts or an event of force majeure, the remaining components of the Grand Prize will be awarded and Sponsor's obligation to the winner will be fulfilled, and no other additional compensation will be provided. Prize conditions may be added or modified by companies providing those portions of the prize. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the affidavit and release and/or prize travel documents. Sweepstakes Entities shall not be liable for any loss or damage to baggage. Grand Prize Winners are solely responsible for obtaining all necessary and required travel documents (passport, ID, etc.). All airline tickets issued in conjunction with prize are not eligible for frequent flyer miles, and no code-share flights may be used. Prize components cannot be used in conjunction with any other promotion or offer, and no portion may be separated except at Sponsor's sole discretion. Costs for room and tax only based on one room with double occupancy; meals, telephone calls and other incidentals are not included. Prize is not transferable; no substitutions or equivalents are permitted, except by the Sponsor at their sole discretion. All taxes and any other costs related to a prize not specifically stated within these Official Rules are the sole responsibility of the winner. Winners shall receive no further compensation or credit for use of the entry submission other than that disclosed in these Official Rules. Sponsor shall have no obligation (express or implied) to further exploit, develop, produce, or distribute any entry submission. Prize Winners, if a U.S. resident, must supply Administrator with his/her social security number for tax purposes and each U. S. Prize Winner will receive an IRS Form 1099 from the Administrator for the ARV of the Prize (stated above) for the calendar year won. In the event winner is deemed a minor in his jurisdiction, prize will be awarded in the name of a parent/legal guardian. 11. GRANT OF LICENSE: By entering the Contest, entrants grant Sponsor, its agents, subsidiaries and affiliates (the "Licensees") a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, database rights and any other rights entrant has in the Video and the Description, in any media now known or hereafter devised (including without limitation, the internet), without any compensation. Further, by entering the Contest, entrant grants Licensees the additional license to modify, adapt, translate, create derivative works from, and distribute the Video and Description (with the understanding that Licensees are under no obligation to include the Description in any uses of the Video), or incorporate the Video and the Description into any form, medium or technology, including the right, at each Licensee's sole discretion, to publish the Video and Description and to use the Video and Description for advertising and promotional purposes. Licensees shall not be required to designate entrants as the creators or authors of Videos and Descriptions that are distributed or otherwise exploited by Licensees, or include any references to entrants on, or in connection with, any Videos and Descriptions that are distributed or otherwise exploited by Licensees. 12. REPRESENTATIONS AND WARRANTIES: Each entrant represents and warrants that: 1) he/she performed the automotive project as described in their entry submission and that he/she is the original author and creator of the Video and the Description and that the Video and Description comply with these Official Rules; 2) the Video and Description do not and will not infringe any third party's copyright, patent, trademark, trade secret or other intellectual property or proprietary rights or rights of publicity or privacy; 3) that the Video and Description are not the subject of any actual or threatened litigation or claim; 4) the Video and Description are not obscene, offensive, libelous, pornographic, threatening, abusive, contain illegal content, or otherwise objectionable; 5) the Video and Description do not encourage a criminal offense or otherwise give rise to liability or violate any law; 6) the story told in the Video and Description is true and accurate. Entrant represents and warrants that in the event the likeness of a minor is included in an entrant's video, he/she has provided a legal release from the parent/legal guardian of the minor depicted in Video. Entrant acknowledges that nothing herein shall constitute an employment, joint venture, or partnership relationship between entrant and Sponsor. In no way is entrant to be construed as the agent or to be acting as the agent of Sponsor in any respect. 13. ADDITIONAL CONDITIONS OF PARTICIPATION: By entering, entrants (their parents/legal guardians if applicable) agree to be bound by these Official Rules including all eligibility requirements. Entries that have been generated by a script, macro, bot or any other automated means will be deemed void. If a dispute results as to the identity of an online entrant, it will be deemed that the online entry was submitted by the authorized account holder of the eBay User ID from which the entry is made. For these purposes, the authorized account holder is the natural person assigned to the eBay User ID by eBay Inc. Use of www.ebay.com or www.ebay.ca and Sponsor's use of information submitted by entrants in connection with this Contest will be subject to the terms and conditions stated in these Official Rules as well as to the eBay User Agreement and Privacy Policy available on www.ebay.com and www.ebay.ca . You will not be eligible for the Contest if your account on eBay is not in good standing. In order for your account to be deemed in good standing as that term is used herein, you must not have a hold on your account and your account must not be suspended or past due as of August 1, 2009. By accepting a prize, Winners (their parents/legal guardians if applicable) consent to the use of their name, eBay User ID, images, likenesses, photo, voices, entry submissions (including Video & Description) and biographical materials for advertising, publicity, and promotional purposes by Sponsor, or a party designated by the Sponsor, including but not limited to, any online announcements, without additional notice or compensation, except where prohibited by Sponsor's Privacy Policy or by law. Entrants (and their parents/legal guardians if applicable) agree that any and all disputes shall be governed by the laws of the State of California and that venue shall lie exclusively in Santa Clara County, California for any dispute arising from or relating to this agreement. Entrants (their parents/legal guardians if applicable) agree that the conditions of submission set forth in these Official Rules, and all documents and agreements incorporated in these Official Rules by reference, solely govern the relationship between entrants and Sponsor in connection with this Contest. 14. LIMITATION OF LIABILITY: ENTRANTS HEREBY AGREE TO RELEASE, INDEMNIFY AND HOLD HARMLESS SPONSOR, STROBE PROMOTIONS, INC. AND EACH OF THEIR AFFILIATES, SUBSIDIARIES, DIVISIONS, ADVERTISING AND PROMOTION AGENCIES, EMPLOYEES, OFFICERS, DIRECTORS AND SHAREHOLDERS (COLLECTIVELY, THE "RELEASEES") FROM ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY OR DEATH, RESULTING FROM PARTICIPATING IN THIS CONTEST, OR FROM THE ACCEPTANCE, POSSESSION, OR USE OR MISUSE OF ANY PRIZE AWARDED OR PARTICIPATION IN ANY PRIZE-RELATED ACTIVITY. THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES; LOSS OF DATA, INCOME, OR PROFIT; LOSS OF DAMAGE TO PROPERTY; AND CLAIMS OF THIRD PARTIES. PARTICIPANTS AGREE THAT SPONSOR HAS NOT MADE NOR IS IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, STATUTORY, EXPRESS OR IMPLIED (INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE), IN FACT OR IN LAW, RELATIVE TO THE CONTEST OR ANY PRIZES AWARDED HEREIN. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SPONSOR DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO EBAY.COM , EBAY.CA OR PAYPAL.COM AND SPONSOR SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS RELATED THERETO. THESE TERMS GIVE YOU SPECIFIC LEGAL RIGHTS. THE PROVISIONS REGARDING IMPLIED WARRANTIES ARE VOID IN SOME PROVINCES WHERE IMPLIED WARRANTIES ARE PRESCRIBED BY LAW. Releasees are not responsible for lost, late, illegible, damaged or stolen entries or submissions, or problems of any kind, whether mechanical, human or electronic. Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, inability to access a website or submit an online entry form, vote, Video, or Description, fraud, incomplete, garbled, or delayed computer transmissions or inaccurate transcription of entry information, whether caused by the Sponsor, users or by any of the equipment or programming associated with or utilized in this promotion or by any technical or human error which may occur in the processing of submissions which may damage a user's system or limit a participant's ability to participate in the promotion. Entry materials or votes that have been tampered with or altered are void. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Contest at any time without notice, if in the judges, opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or integrity and proper play of the Contest. In such event, Sponsor may void any entries they suspect are at issue and award prizes from among all eligible entries/votes received up to the date of cancellation.
